The following rules and regulations apply to all visitors to or users ("You",
"Your" or "User") of the City CarShare Web sites. By accessing any City CarShare Web
sites, You acknowledge acceptance of these terms and conditions. City CarShare, Inc.
("City CarShare" or the "Company") reserves the right to change these rules and
regulations from time to time at its sole discretion. By continuing to access or use
such City CarShare Web site (or any services or other subject matter associated with
such Web site) after City CarShare posts any such revision to the Web site, you agree
to be bound by the revised terms of use. In the case of any violation of these rules
and regulations, City CarShare reserves the right to seek all remedies available by
law and in equity for such violations. These rules and regulations apply to all
visits to any City CarShare Web sites, both now and in the future.

The City CarShare Web sites are provided by City CarShare on an "as is" basis. The
Company makes no representations or warranties of any kind, express or implied, as to

on the sites. City CarShare will not be liable for any damages of any kind arising
from the use of the sites, including but not limited to direct, indirect, incidental
punitive, and consequential damages.
Access to Password Protected/Secure Areas Access to and use of password protected
and/or secure areas of the Web sites is restricted to Authorized Users only. An
Authorized User is a User who has been expressly notified by City CarShare of his or
her ability to access a password protected area of the City CarShare Web sites (for
example, members or partners). Such authorization may be revoked by City CarShare in
its sole discretion. Access to one password protected area does not authorize User to
access another password protected area of the Web sites. The authorization is limited
to the intended password protected area. The authorization is non-transferable. User
may not allow any third parties to view or access password protected areas of the Web
site. Unauthorized individuals attempting to access these areas of the Web site may
be subject to prosecution. Password protected portions of the Web sites may be
subject to separate terms of use.
Links to Third Party Sites
The City CarShare Web sites may contain links to third party sites which are not
under the control of and are not maintained by City CarShare. Access to any other
Internet site linked to this Web site is at the User's own risk and City CarShare is
not responsible for the accuracy or reliability of any information, data, opinions,
advice or statements made on these sites. City CarShare provides these links merely
as a convenience and the inclusion of such links does not imply an endorsement.
Submissions
Unless otherwise explicitly stated, any materials provided by You in connection
with the City CarShare Web sites shall be deemed to be provided on a non-proprietary
and non-confidential basis. Other than as set forth in the Privacy Policy, City
CarShare shall have no obligation of any kind with respect to such materials and
shall be free to use or disseminate such materials on an unrestricted basis for any
purpose. The legality, reliability, appropriateness, originality, and rights
clearances (including but not limited to copyright and patent rights) of such
submissions are the full responsibility of the person submitting them.
You acknowledge that City CarShare: (a) does not pre-screen submissions to the
City CarShare Web sites; (b) has discretion to determine whether to post or not post
any such submissions; and (c) can refuse to accept, delete or otherwise cease
providing, or modify submissions at any time for any reason; in each case, without
any liability whatsoever to You or to any third party.
You are prohibited from posting or transmitting to or from or via any City
CarShare Web site, directly or indirectly: (a) any subject matter that is unlawful,
threatening, libelous, defamatory, obscene, pornographic, or profane; (b) any
software virus, worm or other material of a disruptive or destructive nature; (c) any
spam, bulk or unsolicited communication; (d) any communication (i) impersonating
someone else's identity or misrepresenting your identity or affiliation, (ii)
involving forged or manipulated headers or other identifiers of origin, (iii)
unreasonably disrupting the normal flow of dialogue or otherwise negatively affecting
others' ability to use this Website, or (iv) attempting to obtain personal data about
other Users unless specifically authorized by such Users.
City CarShare reserves the right to investigate and address alleged violations of
these terms of use, or of the rights of others (including intellectual property
rights), and to take any action City CarShare deems appropriate in connection
therewith. For example and without limitation, City CarShare may: (a) block access
from a particular Internet address, or terminate access by a particular user, to any
City CarShare Web site; and (b) provide information regarding any suspected unlawful
activity to law enforcement officials, regulators, or other third parties, including
disclosing any information (such as user profiles, e-mail addresses, usage history,
posted materials, IP addresses, and traffic information) relating to persons or
entities suspected of such unlawful activity.
Your ability to make certain submissions, and to access and use certain subject
matter on a City CarShare Web site, may be conditioned upon Your acceptance of, and
adherence to, additional terms and conditions set forth in separate agreements. In
the event of any conflict between a provision of such separate agreement and a
provision of this agreement, the former shall take precedence. Notwithstanding the
foregoing, with respect to any submission You make that is not governed by such a
separate agreement, You hereby grant to City CarShare a worldwide, unrestricted,
royalty-free, fully paid up, irrevocable, perpetual, irrevocable, non-exclusive
license to make, have made, reproduce, use, prepare derivative works of, publicly
display, publicly perform, transmit, distribute, sell, offer for sale, import,
sublicense, or otherwise exploit such submission.
Trademarks
City CarShare, LiveFleet and any graphics, service marks or logos illustrating or
representing same are trademarks of City CarShare, Inc. Other trademarks, logos and
service marks used in the City CarShare Web sites are the property of City CarShare
or other third parties. Visitors are not permitted to use these trademarks without
the prior written consent of City CarShare or the third party that owns the
trademark.
Privacy Policy and Other Posted Policies or Rules
Our Privacy Policy is part of this agreement and provides additional terms and
conditions. By using any City CarShare Web site, you agree to the Privacy Policy on
such website. This Policy and others that may be added to these terms of use may
change from time to time. Changes take effect when we post them on the City CarShare
Web sites. When using the City CarShare Web sites, you are subject to any posted
policies or rules applicable to services you may use on the City CarShare Web sites.
All such policies or rules are hereby incorporated into this Agreement.
Privacy Policy
Your privacy is important to City CarShare. This statement describes how City
CarShare handles and views the personal information of visitors to the City CarShare
websites.
Collection of Personal Information
Personal information means any information that may be used to identify an
individual, including but not limited to, a first and last name, a state, provincial,
territory or national identification number, an email address, postal or physical
address or other contact information, occupation, industry or other information
including market questions needed to answer a request, to better provide information
and services or to comply with various national, state, provincial or local
government reporting requirements.
The submission of personal information is voluntary. City CarShare may collect
personal information as described below. In each case, we only collect personal
information that we believe to be relevant and required to provide an individual with
requested information and services and to conduct our business. City CarShare may
collect personal information for purposes that include but are not limited to:
Viewing/accessing of white papers, technical briefs or product/service offerings, demonstrations, presentations or orientations
Participation in marketing promotions, events, seminars, webinars, podcasts, teleconferences, executive roundtables, direct mail or general marketing
Career opportunities or other human resources activities
Opportunities to become certified as a City CarShare Member, Customer, or Business Partner.
User or member surveys
Use of our websites specifically for our Members, Customers or Business Partners
Responding to a formal inquiry
* In addition, when accessing certain documents or services on our website,
visitors may be asked to provide certain information, such as how they can be
contacted, where they work, and what they do. We may also track non-personal
information (also see Use of Cookies, Web Beacons and other Technologies in this
Privacy Policy Statement) about web pages and content accessed by visitors to City
CarShare' website and the number of times such content is accessed by a specific
visitor. City CarShare collects this non-personal information in an effort to improve
the quality of its website and also to answer questions as well as improve delivery
and quality of information to visitors of the City CarShare websites.
Information Sharing and Disclosure and Use
City CarShare does not rent, sell, or share personal information about you with
other people or non-affiliated companies except to provide products or services
you've requested, when we have your permission, or under the following
circumstances:
We provide the information to trusted partners who work on behalf of or
with City CarShare under confidentiality agreements. These companies may use your
personal information to help City CarShare communicate with you about offers from
City CarShare and our marketing partners. However, these companies do not have
any independent right to share this information.
We respond to subpoenas, court orders, or legal process, or to establish or
exercise our legal rights or defend against legal claims.
We believe it is necessary to share information in order to investigate,
prevent, or take action regarding illegal activities, suspected fraud, situations
involving potential threats to the physical safety of any person, violations of
City CarShare's terms of use, or as otherwise required by law.
We transfer information about you if City CarShare is acquired by or merged
with another company. In this event, City CarShare will notify you before
information about you is transferred and becomes subject to a different privacy
policy.
City CarShare publishes e-Newsletters, e-Updates and e-Bills that are sent to all
members via e-mail. These messages contain important information about our services
and any dues and fees our members may owe us. Our membership agreement requires that
all members get these types of correspondences.
City CarShare Discussion Forums and Chat Rooms
If you participate in a City CarShare discussion forum or chat room, you should be
aware that the information you provide there will be made broadly available to
others, potentially inside or outside City CarShare, who have access to that
discussion forum or chat room. Also, please recognize that individual forums and chat
rooms may have additional rules and conditions. Each participant's opinion on a forum
or chat room is his or her own and should not be considered as reflecting the opinion
of City CarShare.
Third Party Sites
City CarShare's websites may, from time to time, provide links to other third party
websites which are outside our control and not covered by this Policy and may be
different from this Policy. You may wish to review the privacy policies posted on all
third party websites.
Privacy of Minors and Children
Our websites do not and will not target and are not intended to solicit or attract
children. City CarShare does not knowingly solicit personal information from children
or send them requests for personal information. For the purposes of this document,
children means anyone under the age of 18.
Use of Suppliers
In some cases City CarShare uses suppliers to collect, use, analyze and otherwise
process information on its behalf. It is City CarShare' practice to require such
suppliers to handle information in a manner consistent with City CarShare
policies.
Cookies, Web Beacons and Other Technologies
We sometimes collect non-identifiable information from visits to our websites to
help us provide better customer service. For example, we keep track of the domains
from which people visit, and we also measure visitor activity on City CarShare Web
sites, but we do so in ways that keep the information non-identifiable. This
information is sometimes known as "clickstream data." City CarShare or others on City
CarShare' behalf may use this data to analyze trends and statistics and to help us
provide better customer service.
Also, when we collect personal data from you in a transaction, we may extract some
information about that transaction in a non-identifiable format and combine it with
other non-identifiable information such as clickstream data. This information is used
and analyzed only at an aggregate level to help us understand trends and patterns.
This information is not reviewed at an individual level. If you do not want your
transaction details used in this manner you can disable your cookies.
We collect the information we mentioned in the previous paragraphs through the use
of various technologies, including "cookies." A cookie is a piece of data that a
website can send to your browser, which may then be stored on your computer as an
anonymous tag that identifies your computer but not you. Some City CarShare pages use
cookies, sent by City CarShare or its third party vendors, or other technologies to
better serve you when you return to the website. You can set your browser to notify
you before you receive a cookie, giving you the chance to decide whether to accept
it. You can also set your browser to turn off cookies. If you do so, however, some of
our websites may not work properly.
Some City CarShare websites also use Web beacon or other technologies to better
tailor those sites to provide better customer service. These technologies may be in
use on a number of pages across City CarShare' websites. When a visitor accesses
these pages, a non-identifiable notice of that visit is generated which may be
processed by us or by our suppliers. These Web beacons usually work in conjunction

Service Quality Monitoring
Certain Web transactions may also involve you calling us or our calling you.
Please be aware that it is City CarShare' general practice to monitor and in some
cases record such calls for training or quality assurance purposes.
Online Advertising
Although we do not present online advertising on our Web site today, we may engage
certain companies to help us deliver interactive on-line advertising such as banner
ads. These companies may collect and use information about customers. You may wish to
review their individual privacy policy.
Notification of Changes
This Privacy Policy was last updated on August 15, 2008. A notice will be posted on
our website home page for 30 days whenever this Policy is changed in a material
way.
